WEBSITE ONLINE ORDERING SERVICES AGREEMENT

This Agreement is entered into by YourSiteBuiltRight LLC (“Provider”) and the undersigned client (“Client”).

TERM OF AGREEMENT:

This Agreement shall be effective for a term of 24 months, commencing on the date of signing by both parties.

SCOPE OF SERVICES:

YourSiteBuiltRight LLC agrees to develop a website for the Client based on the requirements previously discussed. The Provider will deliver a draft of the fully functional website, including online ordering and delivery features (if specified), within the agreed timeline after receiving the final specifications.

TERMS OF THE WEBSITE SERVICES:

Upon completion, YourSiteBuiltRight LLC shall be the sole provider of software services for the Client’s business. This includes facilitating online orders for food pick-up and delivery through the website. The Provider will not compete with third-party services (e.g., DoorDash, Uber Eats, Grubhub) as detailed in this agreement. The duration of these services is as indicated in the notes section of this contract. YourSiteBuiltRight LLC is responsible for the maintenance, operation, and construction of the website. The Client is required to offer 2-3 exclusive deals for website users to encourage online ordering.

UPDATES, CHANGES, AND ADDITIONS:

Please note that YourSiteBuiltRight LLC observes a 48-hour grace period for holidays and does not operate on Sundays, Christmas, Halloween, Independence Day, and other national holidays.

PAYMENT TERMS:

The payment schedule and methods (Zelle, ACH, Wire) will be clearly outlined and agreed upon. Payments are dispatched 3-4 times per month.

DELIVERY AND PICKUP TERMS:

The Client agrees to the specified fee structures for delivery (10%) and pickup services ($0), including a flat rate for delivery ($0) and a transparent fee charged to the customers online order ($3) . Additional fees from third-party services in the event of price raises or new product advancement is not paid for by yoursitebuiltright rather the individual accepting these terms and will be deducted from online orders.

ADDITIONAL SERVICES:

YourSiteBuiltRight LLC will have access to the client’s facebook (if applicable) and GMB for promotional purposes. The client agrees not to alter promotional materials and to display them prominently within their establishment.

EARLY TERMINATION CLAUSE:

In the event of premature termination of this agreement by the client, the remainder of the contract will be due in full. The total due will be calculated based on the average monthly earnings of the highest earning month during the term of the contract.

Note: Any reference to “us”, “we”, “our”, and “I” in this Agreement refers to YourSiteBuiltRight LLC. This Agreement is binding between YourSiteBuiltRight LLC and the Client retaining our services for the term of 6 months from the date of signing with a $900 non-refundable deposit for website development.
